CONSTITUTION FOR 1 HOPE MINISTRIES INTERNATIONAL
“1HOPE”
1HOPE MINISTRIES INTERNATIONAL:
1. Preamble:
1.1. Problem Statement: The Sunnyside area in Pretoria is facing deeply sited socio-economic problems as a result of the legacy of civil wars, HIV and poverty in the greater African Continent. The levels of social degradation, unemployment, and crime have soared to epidemic proportions over the years causing mothers to abandon their children resulting in orphans. Further civil and social disputes in the greater African Continent have caused refugees to seek safety in
1.2. Vision and Mission: Therefore, 1Hope strives to create a biblically and economically self sustainable community where the refugees and orphans live decently. 1 Hope wants to help meet the physical and spiritual needs of the orphans and refugees. “Compassion Taking Action to bring Hope to the Hurting” 1Hope wants to bring relief, rehabilitation and development providing a platform for a self sustainable biblical community in Sunnyside that will spiral out to the greater African Continent.
1.3 Why do we exist: To show the love of Christ to the destitute, namely the orphans and refugees, by caring for their immediate needs and to bring them the good news of true hope as we work to rehabilitate and develop them into persons who can fulfill their calling of glorifying God by using their gifts and talents God has given to provide for themselves and their families with the fruits of that work.
2. DEFINITION:
2.1. ‘1Hope’ means 1 Hope Ministries International;
2.2. ‘Representative’ means an individual nominated by the organization to
Represent 1Hope;
2.3. CBO: community based organization is constituted by elected management committee, membership and guided by the constitution;
2.4. NGO: Non-government organization is interest-based organization;
3. Name:
3.1. The organization shall be known as the 1
3.2 The organizations shortened name will be 1Hope.
4. The Organizations main and ancillary objectives:
4.1 Help meet the physical and spiritual needs of the orphan and refugee. Compassion Taking Action giving Hope to the Hurting
4.2 to offer relief aid such as food, clothing and housing to orphans and refugees and will work to rehabilitate and develop them to be leaders in their families and communities to establish a God honoring society.
5. Income and Property:
5.1 1Hope will keep a record of everything it owns.
5.2 1Hope may not give any of its money or property to its members or office bearers. The only time it can do this is when it pays for work that a member or office bearer has done for 1 Hope. The payment must be a reasonable amount for the work that has been done.
5.3 A member of 1Hope can only get money back from the 1 Hope for expenses that he or she has paid for or on behalf of the organization.
5.4 Members or office bearers of 1Hope do not have rights over things that belong to 1Hope.
6. Body Corporate:
1 Hope shall:
6.1 Exist in its own right, distinct from its members or office bearers;
6.2 Be able to own property and other possessions;
6.3 Be able to sue and be sued in its name.
7. Continued existence:
1 Hope will continue with its existence notwithstanding changes in the composition of membership or office bearers;
8. Rights over property:
1 Hope’s members or office bearers have no rights in the property or other assets of the organization solely by virtue of their being members or office bearers of 1 Hope.
9. Powers of 1 Hope and 1 Hope’s members:
9.1 The management committee may take on the power and authority that it believes it needs to be able to achieve the objectives that are stated in paragraph 4 of this constitution. Its activities must abide by the law.
9.2 The management committee has the power and authority to raise funds or to invite and receive contributions and donations from RSA and abroad.
9.3 The management committee does however, have the power to buy, hire or exchange for any property that it needs to achieve its objectives.
9.4 The management committee has the right to make by-laws for proper management, including procedures for application, approval and termination of membership.
9.5 1Hope will decide on the powers and functions of office bearers.
10. 1 Hope’s structure and mechanisms for its governance:
10.1 A management committee will manage 1Hope. The management committee will be made up of not less than 4 members. They are the office bearers and management committee of 1Hope.
10.2 Office bearers will serve for one year but can stand for re-election again and again depending on what kind of services they give to 1Hope. This is as long as their services are required and they are prepared to give their services.
10.3 If a person wants to become a member of 1Hope, he or she will have to apply to become a team member of 1Hope. 1Hope’s management committee will process the application and have the discretion to register the applicant as a member of 1Hope’s team or inform the applicant that he/she is not a suitable member.
10.4 Members of 1Hope must attend its annual general meeting. At the annual general meeting members will exercise their right to determine the policy of 1Hope.
10.5 The management committee must hold at least two mandatory meetings each year.
10.6 The chairperson, or two members of the committee, can call an emergency meeting if a need therefore arises. Notice of this emergency meeting must be given to all the members of the management committee not less than 14 days before it is due to take place. Members of the committee must be informed of the issues that will be discussed at this meeting. To appoint a new management committee member, those calling the meeting must also give the other committee members notice of the meeting not less than 14 days.
10.7 The chairperson shall act as the chairperson of the management committee. If the chairperson does not attend a meeting, then members of the committee who are present will choose which one of the membership committee will chair that meeting. This decision must be done prior to the meeting
10.8 There shall be a quorum whenever such a meeting is held.
10.9 When necessary, the management committee will vote on issues. If the votes are equal on an issue, then the chairperson has either a second vote or a veto right.
10.10 Minutes of all meetings must be kept safely and always be on hand for members to consult.
10.11 The management committee has got the right to set up one or more sub-committees should it decide that it is necessary. It may decide to do this to get work done quickly or to do an inquiry. There must be at least 2 people on a sub-committee. The sub-committee must report on a regular basis back to the management committee on its activities.
11. Rules for convening and conducting meetings and decision making:
11.1 There shall be a quorum whenever meetings are held. 51% will constitute a quorum.
11.2 The management committee will meet quarterly. 51% (quorum) or more of the members need to be present at the meeting to make decisions that are allowed to be carried forward.
11.3 If a member of the management committee does not attend three management committee meetings in a row, without having applied for and obtained leave of absence from the management committee, then the management committee will find a new member to take that members place.
11.4 Minutes will be taken at every meeting to record the management committee’s decisions. The minutes of each meeting will be given to management committee members at least two weeks before the next meeting. The minutes shall be confirmed as a true record of proceeding, by the next meeting of the management committee, and shall thereafter be signed by the chairperson.
11.5 1Hope has the right to form sub-committees. The decisions that sub-committees take must be given to the management committee. The management committee must decide whether to agree to them or not at its next meeting. This meeting should take place soon after the sub-committee’s meeting. By agreeing to decisions the management committee ratifies them.
11.6 All members of 1Hope have to abide by decisions that are taken by the management committee.
11.7 Annual General Meetings
11.7.1 The annual general meeting must be held once a year, towards the end of 1Hope’s financial year.
11.7.2 1Hope should deal with the following business, amongst others, at its annual general meeting:
11.7.2.1 Agree to the items to be discussed on the agenda.
11.7.2.2 Keep a register of the members present and absent and who has sent apologies not to attend.
11.7.2.3 Read and confirm the previous meeting’s minutes with matters arising.
11.7.2.4 Chairperson’s report.
11.7.2.5 Treasurer’s report.
11.7.2.6 Changes to the constitution that members want to make.
11.7.2.7 Elect new office bearers.
11.7.2.8 General operational agenda items.
11.7.2.9 Close the meeting.
12. Finance and financial year end:
12.1 An accounting officer shall be appointed at the annual general meeting. He/she will form part of the management committee and will check that the finances are handled in accordance to the constitution. His or her duty is to audit and check on the finances of 1Hope.
12.2 The treasurer’s job is to control the day to day finances of 1Hope. The treasurer shall arrange for all funds to be put into a bank account in the name 1Hope. The treasurer must also keep proper records of all finances.
12.3 Whenever funds are taken out of the bank account in an amount greater than R2000.00, the treasurer and at least one other member of 1Hope must sign the withdrawal or check.
12.4 The financial year of 1Hope will end on the last day of April.
12.5 1Hope’s accounting records and reports will be ready and handed to the Director of Non-profit Organizations within six months after the financial year ends, no later than 31 October.
12.6 If 1Hope has funds that can be invested, the funds may only be invested with registered financial institutions. These institutions are listed in Section 1 of the Financial Institutions (Investment of Funds) Act, 1984. 1Hope can get securities that are listed on a licensed stock exchange as set out in the Stock Exchange Control Act, 1985. 1Hope can go to different banks to seek advice on the best way to manage its funds.
13. Changes to the Constitution:
13.1 The constitution can be changed by a resolution. The resolution has to be agreed upon and passed by not less than two thirds of the members who are at the annual general meeting or special general meeting. Members must vote at this meeting to change the constitution.
13.2 Two thirds of the members shall be present at a meeting before a decision to change the constitution is taken. Any annual general meeting may vote upon such a notion, if the details of the changes are set out in the notice referred to in paragraph 10.6
13.3 A written notice must go out no less than 14 days before the meeting at which the changes to the constitution are going to be proposed. The notice must indicate the proposed changes to the constitution that will be discussed at the meeting.
13.4 No amendments may be made which would have the effect of making 1Hope cease to exist.
14. Dissolution/Winding-Up:
14.1 1Hope may close down if at least two-thirds of the members present and voting at a meeting convened for the purpose of considering such a matter, are in favour of closing down.
14.2 When 1Hope closes down it has to pay off all debts. After doing this, if there is property or money left over it should not be paid or given to members of 1Hope. It should be given in some way to another non-profit organization that has similar objectives. 1Hope’s general meeting can decide what organization this should be.
